# HealthGeek Terms of Use


**Last Updated: January 2025**


PLEASE READ THESE TERMS OF USE ("TERMS") CAREFULLY BEFORE USING THE HEALTHGEEK PLATFORM.


By accessing the HealthGeek website, mobile application, or any of our products or services (collectively, the "Platform"), you agree to be bound by these Terms. You may access the Platform through a mobile phone, tablet, or other device ("Device"). Your carrier's normal rates and fees apply to your Device.


These Terms create a legally binding agreement between you and Betterlife Pte Ltd, a company incorporated in Singapore (which we may refer to as "Betterlife," "we," "us," or "our") regarding your use of the Platform.

## 1. ACCEPTANCE OF TERMS


By using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply. If you do not agree to these Terms, do not use the Platform.


**Changes to Terms.** We may update these Terms from time to time. If we make material changes, we will notify you through the Platform or by other means. Your continued use of the Platform after such notification constitutes acceptance of the updated Terms. If you do not agree to the changes, please stop using the Platform.

## 2. ELIGIBILITY AND REGISTRATION


**Age Requirements.**


- You must be at least **13 years old** to use the Platform. We do not knowingly collect personal information from children under 13. If you are under 13, do not use the Platform or provide any information to us.

- If you are between **13 and 18 years old** (or the age of legal majority in your jurisdiction), you may only use the Platform with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

- If you are located in the **European Economic Area (EEA)**, you must be at least **16 years old** to use the Platform, or have verifiable parental consent.


**Parental Consent.** If you are a parent or guardian who has consented to a minor's use of the Platform, you are fully responsible for that minor's use, including all financial charges and legal liability.


**Account Registration.** When you register for an account:


- **Accuracy**: Provide accurate, current, and complete registration information.

- **Personal Use**: Your account is for your personal use only. Do not register multiple accounts or transfer your account to others.

- **Security**: Keep your login credentials secure and do not share them. You are responsible for all activity under your account.

- **Notification**: Notify us immediately at [aki@healthzilla.ai](mailto:aki@healthzilla.ai) if you suspect unauthorized access to your account.


TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE ARISING FROM UNAUTHORIZED USE OF YOUR ACCOUNT.

## 3. DESCRIPTION OF SERVICES


HealthGeek provides an AI-powered wellness platform that:


- Analyzes health and fitness data from wearable devices and health platforms (such as Apple HealthKit and Google Fit)

- Provides personalized insights on sleep patterns, activity metrics, heart rate variability, and recovery

- Offers AI-generated wellness recommendations and trend analysis

- Delivers daily readiness assessments based on your health data


Access to certain features may require a paid subscription as described in Section 10.


**Beta and Pre-Release Features.** We may offer beta, preview, or pre-release features ("Beta Features") that are still in development. If you use Beta Features:


- Beta Features are provided "as is" without any warranties

- Beta Features may be unstable, contain bugs, or cause data loss

- We may modify or discontinue Beta Features at any time without notice

- Data created during beta testing may be deleted when the beta period ends

- Beta Features are not intended for production or critical use

- Your feedback on Beta Features helps us improve, and we appreciate your participation

## 4. AI TECHNOLOGY DISCLAIMERS


**IMPORTANT: Please read this section carefully.**


HealthGeek uses artificial intelligence and large language model ("LLM") technology to generate insights, recommendations, and other content ("AI Outputs"). By using the Platform, you acknowledge and agree to the following:


**AI Outputs Are Informational Only.** AI Outputs are provided for general informational and educational purposes only. They are not intended to be, and should not be construed as, medical advice, diagnosis, treatment recommendations, or professional healthcare guidance.


**AI Technology Limitations.** AI technology, including LLMs, is new and evolving. AI Outputs may be:


- Inaccurate, incomplete, or outdated

- Inappropriate for your specific circumstances

- Subject to errors, biases, or hallucinations

- Generated without full context of your health situation


**No Professional Relationship.** Use of the Platform does not create a physician-patient, therapist-client, or any other professional healthcare relationship. The AI is not a licensed healthcare provider, medical professional, personal trainer, or certified health coach.


**Human Review Required.** AI Outputs are not reviewed by licensed healthcare professionals before being presented to you. You should always verify AI-generated information with qualified professionals before making health-related decisions.


**Not a Substitute for Professional Advice.** AI Outputs cannot and do not replace:


- Consultation with licensed physicians, specialists, or healthcare providers

- Professional medical diagnosis or treatment

- Emergency medical services

- Mental health counseling from licensed professionals


**Your Responsibility.** You are solely responsible for evaluating and acting upon any AI Outputs. We strongly encourage you to:


- Consult with qualified healthcare providers before making health decisions

- Seek immediate medical attention for any health concerns

- Not rely solely on AI Outputs for any health-related decisions

## 5. HEALTH AND MEDICAL DISCLAIMERS


**NOT A MEDICAL DEVICE.** The Platform is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease, illness, or medical condition. The Platform has not been evaluated or approved by any regulatory agency as a medical device.


**NOT MEDICAL ADVICE.** The Platform does not provide medical advice. All content, including AI Outputs, metrics, scores, and recommendations, is for informational purposes only.


**CONSULT YOUR PHYSICIAN.** Before using the Platform, and particularly before making any changes to your diet, exercise routine, sleep habits, or other health behaviors based on information from the Platform, you should:


- Consult with your physician or qualified healthcare provider

- Discuss any medical conditions, medications, or health concerns

- Obtain clearance for physical activity if you have any health conditions


**PHYSICAL ACTIVITY RISKS.** Physical activity carries inherent risks. If you experience chest pain, dizziness, shortness of breath, or other concerning symptoms during or after exercise, stop immediately and seek medical attention.


**MEDICAL EMERGENCIES.** The Platform is not designed for medical emergencies. If you are experiencing a medical emergency, call your local emergency services immediately (such as 911 in the United States, 999 in Singapore, or 112 in the European Union).


**NO LIABILITY FOR HEALTH OUTCOMES.** TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT RESPONSIBLE FOR ANY HEALTH PROBLEMS, INJURIES, OR OTHER DAMAGES THAT MAY RESULT FROM YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, OR FROM RELYING ON INFORMATION PROVIDED THROUGH THE PLATFORM.

## 6. USER RESPONSIBILITIES AND CONDUCT


You agree to:


- Use the Platform only for lawful purposes and in accordance with these Terms

- Provide accurate health information to receive appropriate insights

- Not use the Platform in any way that could harm yourself or others

- Not interfere with or disrupt the Platform or servers

- Not attempt to gain unauthorized access to any part of the Platform

- Not reverse engineer, decompile, or disassemble any aspect of the Platform

- Not use automated systems, bots, or scripts to access the Platform

- Not use the Platform for any commercial purpose without our written consent

- Not upload or transmit viruses, malware, or other harmful code

- Not impersonate any person or entity


We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including removing content, suspending accounts, and reporting violations to law enforcement.

## 7. INTELLECTUAL PROPERTY


**Our Content.** All content on the Platform, including but not limited to text, software, code, designs, graphics, logos, images, audio, video, and the compilation thereof ("Content"), is owned by Betterlife or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws.


**Limited License.** Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Content for your personal, non-commercial use only. This license does not include the right to:


- Modify, copy, or distribute the Content

- Use the Content for any commercial purpose

- Remove any copyright or proprietary notices

- Transfer the license to any third party


**Trademarks.** "HealthGeek," the HealthGeek logo, and other marks are trademarks of Betterlife. You may not use our trademarks without prior written consent.


**Feedback.** If you provide us with feedback, suggestions, or ideas regarding the Platform, you grant us a perpetual, worldwide, royalty-free license to use such feedback for any purpose without compensation to you.

## 8. USER CONTENT


**Definition.** "User Content" means any content you submit, post, or transmit through the Platform, including but not limited to:


- Text, notes, and journal entries

- Messages and prompts submitted to our AI features

- Photos and images you upload

- Subjective wellness inputs (mood ratings, energy levels, notes)

- Any other content you provide


**Your Rights.** You retain ownership of your User Content. However, by submitting User Content to the Platform, you grant Betterlife a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, process, and display your User Content for the purposes of:


- Providing and improving the Platform and its features

- Generating AI Outputs based on your inputs

- Analyzing and displaying your wellness data and trends

- Providing customer support

- Complying with legal obligations


This license continues for as long as your User Content remains on our systems, and for a reasonable period thereafter to allow for backup deletion.


**Your Representations.** You represent and warrant that:


- You own or have the necessary rights to your User Content

- Your User Content does not violate any third party's rights

- Your User Content does not contain unlawful, defamatory, or harmful material

- Your User Content is accurate to the best of your knowledge


**AI Processing of User Content.** When you submit prompts, questions, or other content to our AI features, this User Content is processed to generate AI Outputs. You acknowledge that:


- Your inputs may be transmitted to third-party AI service providers

- AI Outputs are generated based on your User Content and health data

- We do not use your individual User Content to train AI models without your explicit consent


**Removal.** You may delete your User Content through the Platform where functionality permits. We will delete your User Content in accordance with our Privacy Policy, though copies may persist in backups for a limited period.


**No Obligation.** We have no obligation to store, maintain, or provide you with copies of your User Content. You are solely responsible for creating backups of your User Content.

## 9. PRIVACY AND DATA


**Privacy Policy.** Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.


**Sensitive Health Data.** The Platform collects and processes sensitive health and fitness data, including data from Apple HealthKit and Google Health Connect. This data is considered sensitive personal information under various privacy laws. By using the Platform:


- You explicitly consent to the collection and processing of your health data

- You acknowledge that this data is used to provide personalized AI-powered insights

- You may withdraw consent at any time by revoking permissions in your device settings or deleting your account


**Cross-Border Data Transfers.** Your data may be transferred to and processed in countries outside your country of residence, including:


- **Singapore**: Where Betterlife is headquartered and operates servers

- **United States**: Where our AI service providers process data to generate AI Outputs

- **Other jurisdictions**: Where our cloud infrastructure providers operate


These countries may have different data protection laws than your country. We implement appropriate safeguards for international transfers, including Standard Contractual Clauses approved by the European Commission for transfers from the EEA/UK.


**Legal Basis for Processing (EEA/UK Users).** If you are in the EEA or UK, we process your data based on:


- **Consent**: For health data and AI processing (you may withdraw consent at any time)

- **Contract**: To provide the services you have requested

- **Legitimate Interests**: For fraud prevention, security, and service improvement


**Data Retention.** We retain your data in accordance with our Privacy Policy. Upon account deletion, we delete your personal data within 30 days, except where retention is required for legal compliance, dispute resolution, or security purposes.

## 10. SUBSCRIPTIONS AND PAYMENTS


**Subscription Services.** Access to certain features of the Platform requires a paid subscription. Subscription plans and pricing are displayed within the Platform.


**Free Trials and Promotional Offers.** We may offer free trials or promotional pricing for subscriptions. Unless you cancel before the trial ends:


- Your payment method will be charged the standard subscription rate

- Free trials are limited to one per user/account

- We reserve the right to limit or revoke trial eligibility

- Promotional pricing applies only for the specified period, after which standard rates apply


**In-App Purchases.** All subscriptions are processed through the Apple App Store or Google Play Store (collectively, "App Stores"). By subscribing, you also agree to the terms and conditions of the applicable App Store.


**Billing.** Subscriptions automatically renew at the end of each billing period unless cancelled. Your payment method will be charged automatically at the then-current rate.


**Cancellation.** You may cancel your subscription at any time through the App Store settings on your device:


- **iOS**: Settings > [Your Name] > Subscriptions > HealthGeek

- **Android**: Google Play Store > Menu > Subscriptions > HealthGeek


Cancellation will take effect at the end of the current billing period. No refunds are provided for partial billing periods, except as required by applicable law.


**Price Changes.** We may change subscription prices at any time. Price changes will take effect at the start of the next billing period following notice to you. If you do not agree to a price change, you may cancel before it takes effect.


**App Store Terms and Acknowledgments.** You acknowledge and agree that:


- The App Stores (Apple Inc. and Google LLC) are not parties to these Terms

- The App Stores have no obligation to furnish any maintenance or support services for the Platform

- In the event of any failure of the Platform to conform to any applicable warranty, you may notify the App Store for a refund of the purchase price (if any); the App Store has no other warranty obligation

- The App Stores are not responsible for addressing any claims relating to the Platform, including product liability claims, consumer protection claims, or intellectual property claims

- The App Stores are third-party beneficiaries of these Terms and may enforce these Terms against you

- Any claims relating to the Platform must be directed to Betterlife, not the App Stores

- You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. government prohibited or restricted party list


**EU/EEA Right of Withdrawal.** If you are located in the European Union or European Economic Area, you have the right to withdraw from a subscription purchase within 14 days of purchase without giving any reason. However, by starting to use the Platform immediately after purchase, you expressly consent to the immediate performance of the digital content service and acknowledge that you lose your right of withdrawal once the service has been fully performed. For subscriptions, this means once you have accessed premium features, the withdrawal right is waived for that billing period. ## 11. DISCLAIMERS AND LIMITATION OF LIABILITY


**AS-IS BASIS.** THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.


**NO GUARANTEES.** We do not guarantee that:


- The Platform will meet your requirements or expectations

- The Platform will be uninterrupted, secure, or error-free

- Results obtained from the Platform will be accurate or reliable

- Any defects will be corrected


**LIMITATION OF LIABILITY.** TO THE MAXIMUM EXTENT PERMITTED BY LAW:


- IN NO EVENT SHALL BETTERLIFE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.


- OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD $100).


**Jurisdictional Limitations and Consumer Rights.** Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In particular:


- **Australia**: The Platform comes with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth).

- **European Economic Area and United Kingdom**: Nothing in these Terms affects your statutory rights as a consumer under applicable EU or UK consumer protection laws, including rights related to faulty or misdescribed services.

- **New Zealand**: Nothing in these Terms excludes or limits any rights you may have under the Consumer Guarantees Act 1993.


In all such jurisdictions, our liability is limited to the maximum extent permitted by applicable law, and any disclaimers or limitations that are not enforceable do not affect the enforceability of the remaining provisions.

## 12. INDEMNIFICATION


You agree to indemnify, defend, and hold harmless Betterlife, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:


- Your use of the Platform

- Your violation of these Terms

- Your violation of any third-party rights

- Any content you submit or transmit through the Platform

- Any health decisions you make based on information from the Platform

## 13. TERMINATION


**By You.** You may stop using the Platform at any time. To delete your account, use the account deletion feature in the Platform or contact us at [aki@healthzilla.ai](mailto:aki@healthzilla.ai).


**By Us.** We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:


- Violation of these Terms

- Conduct that we determine to be harmful to other users or the Platform

- Extended periods of inactivity

- Requests by law enforcement or government agencies


**Effect of Termination.** Upon termination:


- Your license to use the Platform immediately ends

- Your subscription will not automatically renew (though no refund is provided for the current period, except as required by law)

- We will delete your personal data within 30 days, except where we are required or permitted to retain data for:

- Legal compliance (e.g., tax records, dispute resolution)

- Security and fraud prevention

- Backup systems (deleted within 90 days)

- Sections of these Terms that by their nature should survive (such as Sections 11, 12, 14, and 15) will continue to apply


**Data Export.** Before deleting your account, you may request a copy of your data by contacting [aki@healthzilla.ai](mailto:aki@healthzilla.ai).

## 14. DISPUTE RESOLUTION AND ARBITRATION


**Informal Resolution.** Before initiating any formal dispute resolution, you agree to contact us at [aki@healthzilla.ai](mailto:aki@healthzilla.ai) to attempt to resolve the dispute informally. We will attempt to resolve any dispute within 30 days.


**Binding Arbitration.** If we cannot resolve a dispute informally, you and Betterlife agree to resolve any disputes through binding individual arbitration rather than in court, except for disputes that qualify for small claims court.


**Arbitration Procedures:**


- **Administering Body**: Singapore International Arbitration Centre (SIAC)

- **Rules**: SIAC Expedited Procedure Rules, or if the claim exceeds SGD $100,000, the SIAC Arbitration Rules

- **Seat**: Singapore

- **Language**: English

- **Number of Arbitrators**: One (1)


**Arbitration Fees:**


- For claims under SGD $10,000: Betterlife will pay all arbitration fees

- For claims between SGD $10,000 and SGD $75,000: Each party pays their own filing fees; Betterlife pays remaining arbitration costs

- For claims over SGD $75,000: Fees allocated per SIAC Rules

- Each party bears their own attorney's fees unless the arbitrator awards fees to the prevailing party


**Opt-Out Right.** You may opt out of this arbitration agreement by sending written notice to [aki@healthzilla.ai](mailto:aki@healthzilla.ai) within **30 days** of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, you may pursue claims in court, but the class action waiver below still applies to the extent permitted by law.


**CLASS ACTION WAIVER.** YOU AND BETTERLIFE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. If this waiver is found to be unenforceable, the entire arbitration agreement shall be null and void.


**Exceptions.** This arbitration agreement does not apply to:


- Users located in the European Economic Area (EEA), United Kingdom, Australia, or any jurisdiction where such agreements are prohibited by law

- Claims for injunctive or equitable relief to protect intellectual property rights

- Disputes that qualify for small claims court (under SGD $20,000 in Singapore)


**Governing Law.** These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles. For EEA/UK users, this choice of law does not deprive you of mandatory consumer protections under your local law.


**Jurisdiction.** For users exempt from arbitration, or for any matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts of Singapore. EEA/UK users may also bring claims in their local courts for consumer disputes.

## 15. GENERAL PROVISIONS


**Entire Agreement.** These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Betterlife regarding the Platform.


**Severability.** If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.


**No Waiver.** Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.


**Assignment.** You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.


**Notices.** We may provide notices to you through the Platform, by email, or by other means. You may contact us at:
